The firm is at the forefront in providing legal advice and assistance for U.S., European and other investors entering the emerging Eastern and Central European markets. We currently have offices in Budapest, Prague and Warsaw. They are staffed by U.S. and local lawyers.

The Central European offices have strong ties with one another. We also work closely with counsel in other countries on a broad range of legal matters.

Each of the three countries in which Weil, Gotshal has offices is handling its move toward a market economy and its methods of privatization in a distinct manner. Yet Central Europe often represents a single market opportunity to business organizations throughout the world. Thus, the firm determined early on that the best way to meet the needs of its clients was to establish offices in each of the three capitals.

Our practice recognizes the client's need to understand the evolving rules of international business and trade in order to develop appropriate business and government relations strategies. The firm serves its clients in this evolving climate by helping to coordinate and structure commercial transactions to fit new international legal systems, multinational and bilateral agreements, and legal and business practices.

Our work covers the gamut of business arrangements in test nations making the transition to market economies. We represent American and European companies in connection with their investments in Central Europe, including start-ups, acquisitions of, and investments in, existing businesses, and privatizations. We handle joint ventures and stock purchase arrangements, privatization of state-owned enterprises, venture capital transactions, project finance, establishment of local sales and manufacturing subsidiaries (with foreign participation), real property matters, intellectual property, licensing and technology transfer agreements, and trade issues concerning Central Europe, the European Community and the United States.

For example, in Prague, we represented a major financial institution in connection with the preparation of commercial lending documentation.

The firm represents the Polish, Hungarian, Czech and Slovak Enterprise Funds in dozens of transactions in which the Funds have invested hundreds of millions of dollars in their respective countries through equity and debt transactions. In addition, our lawyers frequently advise government officials on policy issues, such as counseling the Hungarian government on the development and drafting of a comprehensive environmental statute.

Representative clients of the Central European offices include American Airlines, Bankers Trust, Citibank, Coastal Power Corporation, CP Holdings, Dow Chemical, Egis Pharmaceuticals, Estče Lauder, General Electric Capital, Internationale Nederlanden Bank, MATÁV (Hungarian telecommunications company), MOL (Hungarian national oil company), Rohr Gas, RWE Energie AG and Thyssen AG.
